These terms govern access to and use of Quorum's training programmes, learning portal, and related educational materials. Please read them carefully before enrolling or placing an order. By using our services, you confirm that you have read and agree to these terms on behalf of yourself and, where applicable, your organisation.

1. About Quorum

Quorum operates as a provider of corporate compliance training programmes and educational content for business organisations in Singapore. Our registered address is 6 Battery Road, #15-07, Singapore 049909. You may contact us at [email protected] or by telephone at +65 6294 7158.

Quorum's programmes are educational in nature and are designed to support organisations in building internal knowledge and operational awareness. Nothing in our content, materials, or communications constitutes legal advice, and participation in our programmes does not create a client–advisor relationship of any kind.

2. Scope of These Terms

These Terms & Conditions apply to all individuals and organisations that access or purchase Quorum's services, including:

Use of our website at quoru.sbs and our hosted learning portal is also subject to these terms. By accessing any of these services, you agree to be bound by the version of these terms in effect at the time of access.

3. Enrolment and Orders

Placing an Order

Orders for Quorum's programmes may be placed by submitting an enquiry through our website contact form, by email to [email protected], or by telephone. An order is not confirmed until Quorum has issued a written confirmation of enrolment and, where applicable, a tax invoice.

Eligibility

Programmes are offered to business organisations and their employees. Individuals enrolling on behalf of an organisation represent that they have authority to bind that organisation to these terms. Quorum's services are intended for participants aged 18 and above.

Accuracy of Information

You are responsible for ensuring that the information provided during enrolment is accurate and complete. Quorum is not responsible for delays or service issues arising from inaccurate or incomplete enrolment information.

4. Fees and Payment

Programme Fees

Current programme fees are as set out on our website. All fees are quoted in Singapore Dollars (SGD) and are exclusive of Goods and Services Tax (GST) where applicable. Quorum reserves the right to adjust its published fees and will provide reasonable notice of any changes before they take effect.

Payment Terms

Payment is due within fourteen days of the date of the invoice unless otherwise agreed in writing. For workshop and annual programme engagements, Quorum may require a deposit prior to confirming scheduling or portal access. Full payment is required before programme commencement unless a separate payment schedule has been agreed.

Late Payment

Quorum reserves the right to suspend access to the learning portal or defer scheduled programme delivery if payment remains outstanding beyond the agreed due date. We will communicate with you before taking any such steps.

5. Cancellation and Rescheduling

Cancellation by the Client

For workshop bookings, notice of cancellation received more than fourteen calendar days before the scheduled delivery date will result in a full refund of any deposit paid. Cancellations received within fourteen calendar days of the delivery date are non-refundable. For the online module and annual programme, cancellation requests should be directed to [email protected] and will be reviewed on a case-by-case basis.

Rescheduling

Clients may request to reschedule a workshop booking by providing at least seven calendar days' written notice. Rescheduling is subject to facilitator and venue availability and is offered at no additional charge for the first reschedule request. Subsequent rescheduling requests may incur an administrative fee.

Cancellation by Quorum

Quorum reserves the right to cancel or reschedule a programme in exceptional circumstances, including events outside our reasonable control. In such cases, we will provide the earliest possible notice and offer a full refund or an alternative delivery date.

6. Intellectual Property

All course materials, workbooks, slide decks, portal content, templates, and other training resources provided by Quorum are the intellectual property of Quorum and are protected under Singapore copyright law. Participants are granted a non-exclusive, non-transferable licence to use these materials for their own internal business purposes during the programme and for twelve months thereafter.

Clients and participants may not reproduce, distribute, sublicense, or make available to third parties any Quorum materials without express written consent from Quorum. Materials shared via the learning portal are for the enrolled organisation's internal use only and may not be uploaded to third-party platforms or shared externally.

7. Acceptable Use of the Learning Portal

Access to the Quorum learning portal is provided to enrolled participants and designated HR administrators only. Portal credentials are personal and must not be shared with individuals outside the enrolled organisation. Clients are responsible for ensuring that portal access is deactivated promptly when an employee leaves their organisation.

The portal must not be used for any purpose that is unlawful, harmful, or that interferes with the proper functioning of the platform. Quorum reserves the right to suspend portal access where it reasonably believes these terms are being breached.

8. Limitations of Liability

Quorum's training programmes and materials are provided for general educational and operational guidance purposes. They do not constitute legal, regulatory, financial, or professional advice. Quorum does not warrant that completion of any programme will satisfy any specific regulatory requirement or audit standard applicable to your organisation.

To the extent permitted by applicable Singapore law, Quorum's aggregate liability in connection with any programme or service shall not exceed the fees paid by the client for that programme in the twelve months preceding the relevant claim. Quorum is not liable for any indirect, consequential, or speculative losses arising from use of or reliance on its materials.

Nothing in these terms limits liability for fraud, death, or personal injury caused by negligence, or for any other liability that cannot be excluded or limited under applicable law.

9. Confidentiality

Both parties agree to keep confidential any non-public information shared during the course of a programme engagement. Quorum treats client information, including staff names, company details, and programme participation data, as confidential and does not disclose it to third parties except as described in our Privacy Policy or as required by law. Case studies and worked examples used in workshops are drawn from anonymised, fictionalised scenarios and do not represent any specific client.

10. Data Protection

Quorum processes personal data in accordance with the Singapore Personal Data Protection Act 2012 (PDPA). Details of how we collect, use, and protect personal data are set out in our Privacy Policy. By engaging our services, you agree to our data handling practices as described therein.

11. Third-Party Content and Links

Our website and learning portal may include links to external resources, regulatory guidance, or third-party reference materials. Quorum provides these links for informational convenience and is not responsible for the accuracy, completeness, or availability of any external content. The inclusion of a link does not constitute an endorsement of the linked site or its operator.

12. Governing Law and Disputes

These terms are governed by and shall be construed in accordance with the laws of Singapore. Any dispute arising out of or in connection with these terms or Quorum's services shall first be referred to good-faith negotiation between the parties. If a dispute cannot be resolved by negotiation within thirty days, the parties may refer it to mediation under the Singapore Mediation Centre's prevailing mediation procedure before pursuing any other remedy.

13. Changes to These Terms

Quorum may update these Terms & Conditions from time to time. When changes are made, we will update the "Last Updated" date at the top of this page. Continued use of our services after the updated terms have been published constitutes acceptance of those terms. We encourage you to review this page periodically.
